Terms of Service

These Terms of Service (“Terms”) govern your use of the website located at https://fbs-ai.com and the services provided by First Business Solutions ABN 15 163 665 209 (“FBS”, “we”, “us”, or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. Services
First Business Solutions provides done-for-you AI-powered lead response, qualification, appointment booking, follow-up automation, objection handling, Meta advertising management, and website creation services for home service businesses and other high-ticket service providers. The specific scope of services delivered to each client is outlined in their individual service agreement.
2. Client Responsibilities
By engaging FBS services, you agree to:
- Provide accurate business information, including services, pricing, and target audience details during onboarding
- Grant necessary access to your calendar, website forms, and advertising accounts as required for service delivery
- Respond to strategy calls and communications in a timely manner
- Ensure your business complies with all applicable laws and regulations in your jurisdiction
- Not use our services for any unlawful, deceptive, or harmful purpose
3. Payment Terms
- All fees are charged in Australian Dollars (AUD) unless otherwise agreed
- Monthly service fees are billed in advance on the same date each month
- Setup fees (where applicable) are due prior to onboarding commencing
- All payments are non-refundable unless otherwise agreed in writing
- Failure to pay within 7 days of the due date may result in suspension of services
- Disputed charges must be raised within 14 days of the invoice date
4. Intellectual Property
- All AI systems, workflows, automations, prompts, and processes built by FBS remain the intellectual property of First Business Solutions
- The GoHighLevel sub-account, website, and any custom assets built for your business are licensed to you for use during the active service period
- Upon termination of services, client-specific content (branding, copy, leads) remains the property of the client
- FBS retains the right to use anonymised performance data and results for case studies and marketing purposes, with client consent
5. Confidentiality
Both parties agree to keep confidential any proprietary information, business data, or trade secrets shared during the course of the engagement. This obligation survives termination of the service agreement.
6. Limitation of Liability
To the maximum extent permitted by Australian law:
- FBS is not liable for any indirect, incidental, consequential, or punitive damages arising from use of our services
- Our total liability to any client shall not exceed the total fees paid in the 3 months prior to the claim
- FBS does not guarantee specific revenue outcomes
- Results may vary based on factors outside our control including lead volume, market conditions, and client responsiveness
7. Termination
All clients have a minimum 3-month commitment regardless of plan or pricing tier. After the 3-month minimum period, services continue on a month-to-month basis. Either party may terminate with 30 days written notice after the minimum period has been completed. FBS reserves the right to terminate services immediately for breach of these Terms, non-payment, or misuse of the system. Upon termination, client access to the GHL sub-account will be maintained for 30 days to allow data export.
8. Third-Party Services
Our services integrate with third-party platforms including GoHighLevel, Meta, Anthropic Claude API, Google Calendar, and Calendly. FBS is not responsible for any outages, changes, or issues caused by these third-party platforms. Their respective terms of service and privacy policies apply.
9. Governing Law
These Terms are governed by the laws of the State of Victoria, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
10. Changes to These Terms
We reserve the right to update these Terms at any time. We will notify active clients of material changes via email. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
